Design Approval Agreement

Design & Approval Agreement July 13 2025


This Design & Approval Agreement ("Agreement") outlines the responsibilities of both Pro31 Branding ("Designer") and the client ("Client") with respect to the design, customization, and production of custom apparel and knitwear. This Agreement ensures mutual understanding and consent regarding final designs before production begins.


1. Design Process

Pro31 Branding will collaborate with the Client to develop custom apparel concepts that reflect the Client’s brand identity, values, and style preferences. The design process may include:

  • Initial creative consultation
  • Concept mockups or digital renderings
  • Color matching and yarn/trim selection 
  • Sizing and fit guidance
  • Logo placement or embroidery setup
     

2. Proofing and Revisions

The Client will be provided with one or more digital proofs or mockups for review and approval. These proofs represent the final design layout, colorways, artwork placement, and garment details.

  • Two (2) complimentary rounds of revisions are included in the design process.
  • Additional revisions may incur extra fees, which will be communicated in advance.
     

3. Client Responsibilities

The Client agrees to:

  • Review all proofs carefully for accuracy of logo, text, colors, sizing, and overall layout
  • Submit written approval via email or designated approval form before production begins
  • Confirm any brand guidelines or Pantone color matching requirements in advance
  • Acknowledge that once approved, the design will be produced exactly as shown in the final proof
     

IMPORTANT: Pro31 Branding is not responsible for any errors (e.g., typos, incorrect logos, layout issues) once a final proof has been approved by the Client.
 

4. Production Timeline

Production will begin only after the Client has:

  • Submitted final design approval
  • Signed off on any sample or sizing specs (if applicable) 
  • Provided deposit or full payment, as required
     

Estimated production timelines will be communicated post-approval and may vary based on the complexity of the order.


5. Ownership and Usage

  • Client retains ownership of any logos, marks, or original artwork they provide.
  • Pro31 Branding retains ownership of any original designs, templates, and mockups it creates.
  • By approving the design, the Client grants Pro31 Branding the right to showcase the final product (photos or renderings) for portfolio, promotional, or marketing purposes unless otherwise agreed in writing.
     

6. Cancellations and Changes Post-Approval

Once the final design is approved and production has started:

  • No further changes can be made
  • Cancellations are not permitted
  • The Client remains responsible for full payment
